Conveyancing and property transactions in Malaysia

The Malaysian Property Law Framework

Malaysian property law is governed by a comprehensive legislative framework that protects the interests of purchasers, developers, and financial institutions alike. Successful property transactions require careful navigation of overlapping federal and state regulations, each with distinct compliance obligations and approval processes.

Foreign nationals and corporations looking to invest in Malaysian property must satisfy additional requirements, including state authority consent and minimum price thresholds that vary by state. The Malaysia My Second Home (MM2H) programme offers a structured pathway for eligible foreign buyers, though participants remain subject to individual state conditions and property type restrictions.

  • National Land Code (NLC) 1965 — governs land ownership, transfers, charges, and dealings
  • Housing Development Act (HDA) 1966 — regulates licensed housing developers and purchaser protections
  • Strata Titles Act 1985 — provides for the subdivision of buildings and land into strata parcels
  • Strata Management Act 2013 — regulates maintenance and management of stratified developments

Property Law FAQs

Common questions about property transactions, conveyancing, and real estate law in Malaysia.

The property buying process in Malaysia generally involves identifying a suitable property, engaging a lawyer to conduct due diligence (including title searches and encumbrance checks), negotiating and executing a Sale and Purchase Agreement (SPA), paying the requisite stamp duty, applying for financing if needed, and registering the transfer of title at the relevant land office. For sub-sale properties, the process typically takes three to six months from SPA execution to completion. New development purchases follow the developer's construction timeline, which may extend to 24 to 36 months for vacant possession.

Foreign buyers must obtain state authority consent under the National Land Code before acquiring property in Malaysia. Most states impose a minimum purchase price threshold, generally RM1 million or higher, though specific requirements vary by state. Foreigners are typically restricted from purchasing Malay Reserved Land, properties held under Malay Reserve titles, and low to medium-cost residential units. The Malaysia My Second Home (MM2H) programme provides an additional pathway for eligible foreign nationals, although participants remain subject to individual state conditions. We advise foreign clients on structuring their acquisitions to comply with all applicable regulations.

Schedule H is a statutory form of sale and purchase agreement prescribed under the Housing Development (Control and Licensing) Act 1966 for strata properties such as condominiums and apartments. It establishes mandatory terms designed to protect purchasers, including defined timelines for delivery of vacant possession, liquidated damages for late delivery, defect liability periods, and progressive payment schedules tied to certified construction milestones. All licensed housing developers are legally required to use Schedule H for strata residential properties, and any variation from its terms requires regulatory approval. Understanding your rights under Schedule H is essential before committing to any strata property purchase.

For sub-sale transactions on the secondary market, the conveyancing process typically takes three to four months from SPA execution to completion. This period accounts for state consent (where required, which may take four to eight weeks), preparation of loan documentation, stamp duty adjudication, and registration of the transfer of title at the land office. New development purchases depend on the developer's construction schedule, which can range from 24 to 36 months. Factors that may extend the timeline include delays in obtaining state consent for foreign buyers, issues identified during title searches, or complications with existing encumbrances on the property.

Stamp duty on the Memorandum of Transfer (MOT) in Malaysia is calculated on a tiered basis: 1% on the first RM100,000 of the property value, 2% on the next RM400,000, 3% on the next RM500,000, and 4% on any amount exceeding RM1 million. Loan agreements attract stamp duty at a flat rate of 0.5% of the total loan amount. The Malaysian government periodically introduces stamp duty exemptions or remissions, particularly for first-time homebuyers purchasing properties within specified price ranges. Our team advises clients on all applicable duties and any available exemptions to optimise transaction costs.
